3. Client Obligations

As a Client, you agree to:

• Provide accurate and complete information about your requirements and company
• Respond promptly to communications from Thoughtgears
• Not directly contact or engage candidates introduced by Thoughtgears without going through our agreed process
• Pay all invoices in accordance with the agreed payment terms
• Comply with all applicable employment and data protection laws
• Notify Thoughtgears of any direct hire of a candidate within 12 months of introduction

4. Candidate Obligations

As a Candidate, you agree to:

• Provide accurate and truthful information in your CV, applications, and interviews
• Inform Thoughtgears of any changes to your availability or circumstances
• Not apply directly to positions introduced by Thoughtgears without going through us
• Maintain confidentiality regarding client information and interview processes
• Act professionally in all interactions with potential employers

5. Fees and Payment

Fees for our Services vary depending on the type of engagement and will be agreed in writing before services commence. General terms include:

• Permanent Recruitment: Fees are typically calculated as a percentage of the candidate's first-year salary
• Staff Augmentation: Daily or hourly rates as agreed in the service contract
• Consulting Services: Project-based or time-and-materials pricing as agreed

Payment terms are typically 30 days from invoice date unless otherwise agreed. Late payments may incur interest charges.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our business relationship. This includes, but is not limited to, business strategies, technical information, candidate details, and pricing information. Confidentiality obligations survive the termination of any agreement.

7. Intellectual Property

All content on our Website, including text, graphics, logos, and software, is the property of Thoughtgears or our licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

8. Limitation of Liability

To the fullest extent permitted by law, Thoughtgears shall not be liable for:

• Any decision made by a Client based on information provided by Thoughtgears or candidates

Our total liability for any claim arising from our Services shall not exceed the fees paid to Thoughtgears in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Thoughtgears, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms or your use of our Services.

10. Termination

Either party may terminate the business relationship by providing written notice in accordance with any applicable service agreement. Upon termination, all outstanding fees become immediately due and payable. Certain provisions of these Terms, including confidentiality and limitation of liability, survive termination.
